RELEVANCE AI AFFILIATE PROGRAM TERMS & CONDITIONS

IMPORTANT NOTICE: These Terms & Conditions apply to all affiliates in the Relevance AI Affiliate Program, whether you joined before or after the Last Updated date. By continuing to participate in the Program, you agree to be bound by the current version of these Terms & Conditions. Material updates are communicated to existing affiliates with appropriate notice as outlined in Section 14.

1. AGREEMENT TO TERMS

This Affiliate Program Agreement ("Agreement") is a legally binding contract between you (either an individual or legal entity, "You", "Your", "Affiliate") and OnSearch Pty Ltd T/A Relevance AI ("Relevance AI", "we", "us", or "our"), governing your participation in the Relevance AI Affiliate Program ("Program").

BY CLICKING "APPLY NOW", "SIGN UP", OR OTHERWISE ACCESSING OR USING THE AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. If you do not have such authority, or if you do not agree with these terms and conditions, you must not accept this Agreement and may not participate in the Program.

Relevance AI reserves the right to approve or reject any Program application at its sole and absolute discretion. Acceptance of your application is not guaranteed, and Relevance AI is under no obligation to provide reasons for rejection.

2. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below:

• "Affiliate" or "Affiliates": Individuals or entities who have been accepted into the Affiliate Program and who are legally bound by these Terms and Conditions.
• "Affiliate Link": The unique tracking link provided to you through the Affiliate Platform for tracking referrals and commissions. The link contains your unique affiliate identifier and directs users to Relevance AI's website.
• "Affiliate Platform": The Rewardful-powered affiliate dashboard and portal where you manage your account, access promotional materials, track referrals, and view commission reports.
• "Commission": The monetary compensation earned by an Affiliate for Qualified Referrals as specified in Section 7 of this Agreement.
• "Customer": An individual or entity that becomes a paying subscriber to Relevance AI's products or services.
• "Qualified Referral": A referral that meets all the criteria specified in Section 7.2 of this Agreement.
• "Referral": A potential customer who clicks on your Affiliate Link and is directed to Relevance AI's website.
• "Relevance AI Products": Any and all software-as-a-service products, tools, features, and services offered by Relevance AI including but not limited to AI Agents, AI Workforce, AI Tools, Integrations, API access, and any future products or services.
• "Cookie Duration": The period during which a referral can be attributed to your Affiliate Link after initial click, currently set at 60 days.

3. AFFILIATE ACCOUNT REQUIREMENTS

3.1 Account Creation and Information

To participate in the Program, you must:

1. Be at least 18 years of age or the age of majority in your jurisdiction
2. Provide your legal full name, valid email address, and any other information required during the signup process
3. Maintain accurate, complete, and up-to-date account information
4. Verify your identity and provide tax information as required by law

3.2 Account Security and Responsibility

You are solely responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account
• Any content posted or distributed using your Affiliate Link
• Compliance with all applicable laws and regulations

Relevance AI will not be liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Limitations

• Each legal entity may control no more than one Program account unless expressly authorized in writing by Relevance AI
• You may not share, transfer, or sell your Affiliate account or Affiliate Link
• You may not use the Program for any illegal, fraudulent, or unauthorized purpose

4. COMMISSION STRUCTURE AND PAYMENT TERMS

4.1 Commission Rate

Affiliates earn 15% recurring commission on all revenue generated from Qualified Referrals for 12 consecutive months from the date of the customer's initial purchase.

Commission is calculated on the subscription revenue only. The following are expressly excluded from commission calculations:

• One-time setup fees
• Professional services fees
• Managed service fees
• Enterprise custom pricing arrangements (unless specifically approved in writing)
• Refunded or charged-back transactions
• Fraudulent or suspicious transactions

4.2 Qualified Referral Criteria

A referral qualifies for commission only if ALL of the following conditions are met:

1. The customer clicks on your unique Affiliate Link
2. The customer signs up for a Relevance AI account within the Cookie Duration (60 days)
3. The customer upgrades to a paid subscription plan within the Cookie Duration
4. The transaction is completed on a bona fide, arm's length basis (not for your own use or for entities you control or are affiliated with)
5. The customer does not request a refund within 30 days of purchase
6. The customer maintains an active, paid subscription
7. The referral complies with all terms of this Agreement, including prohibited marketing methods
8. The customer was not already a Relevance AI customer or did not have prior direct contact with Relevance AI sales team (see Section 4.3)

4.3 Prior Customer Exception

If you refer a customer who has previously been a Relevance AI customer or who has been in contact with our sales team, the commission payment will be subject to manual review and approval at Relevance AI's sole discretion. We reserve the right to attribute the sale to our direct sales efforts if appropriate.

4.4 Self-Referral Prohibition

You may not use your Affiliate Link to purchase Relevance AI products for yourself, your company, or any entity in which you have an ownership interest or financial relationship. Self-referrals are strictly prohibited and will result in immediate account termination and forfeiture of all commissions.

4.5 Commission Approval and Payment Schedule

• Commissions become "Pending" when a Qualified Referral completes a purchase
• Commissions are approved and become payable 30 days after the purchase date, provided the customer has not requested a refund
• Approved commissions are typically paid weekly via Wise transfer, though payment frequency and timing may be adjusted at our sole discretion
• Payment schedules are not guaranteed and may vary based on operational requirements
• Minimum payout threshold: $50 USD

Commissions below the minimum threshold will accumulate in your account until the threshold is reached.

4.6 Refunds and Chargebacks

If a customer requests a refund or initiates a chargeback:

• Any commission paid will be deducted from your next payment
• If insufficient future commissions exist, you agree to repay the amount immediately upon request
• Failure to repay may result in account termination and legal action

4.7 Commission Adjustments and Disputes

Relevance AI reserves the right to:

• Withhold payment on suspicious or potentially fraudulent referrals pending investigation
• Request additional documentation or information to verify referrals
• Adjust commissions for pricing errors, technical issues, or other legitimate business reasons
• Set off any amounts you owe us against commission payments

If you believe a commission was incorrectly calculated or attributed, you must notify us in writing at [email protected] within 30 days of the transaction. Failure to notify us within this period constitutes acceptance of the commission calculation.

4.8 Tax Responsibilities

You are solely responsible for all taxes on commission income. Relevance AI will not withhold taxes from your commissions unless required by law. You may be required to provide tax documentation (such as W-9, W-8BEN) before receiving payment.

5. PROHIBITED MARKETING METHODS AND RESTRICTIONS

5.1 Paid Advertising Prohibition

Affiliates are STRICTLY PROHIBITED from using paid advertising to promote Relevance AI or drive traffic through Affiliate Links.

This prohibition includes but is not limited to:

Search Engine Advertising:

• Google Ads (Search, Display, Shopping, Performance Max, YouTube)
• Microsoft Advertising (Bing Ads)
• Yahoo Ads
• Any other search engine advertising platforms

Social Media Advertising:

• Facebook Ads
• Instagram Ads
• LinkedIn Ads
• Twitter/X Ads
• TikTok Ads
• Pinterest Ads
• Reddit Ads
• Snapchat Ads
• Any other social media advertising platforms

Other Paid Media:

• Display/banner advertising networks
• Native advertising platforms
• Retargeting/remarketing campaigns
• Influencer paid partnerships that include Affiliate Links
• Sponsored content that includes Affiliate Links
• Pay-per-click (PPC) campaigns of any kind
• Cost-per-impression (CPM) campaigns
• Cost-per-acquisition (CPA) campaigns

5.2 Brand Bidding Prohibition

You may not bid on, purchase, or use the following in any paid advertising campaign:

• "Relevance AI" (exact match or variations)
• "relevanceai.com" (exact match or variations)
• "Relevance AI [anything]" (e.g., "Relevance AI discount", "Relevance AI promo")
• Any misspellings or typographical variations of the above
• Our brand name in combination with any other keywords
• Our competitors' names in conjunction with our brand

This prohibition applies whether used separately or in combination with other keywords, in ad copy, display URLs, or as bid keywords.

5.3 Domain and URL Restrictions

You may not:

• Register domain names that include "Relevance AI", variations, or misspellings
• Use typosquatting domains to capture traffic intended for Relevance AI
• Use domains that create confusion with Relevance AI's brand
• Use "doorway pages" or redirect domains
• Direct link from paid advertising to Relevance AI (even if using non-brand keywords)
• Use URL shorteners or cloaking to hide the affiliate tracking information from Relevance AI

5.4 Prohibited Software and Technologies

You may not use or distribute:

Parasiteware and Parasitic Marketing, including applications that:

• Overwrite or modify affiliate tracking cookies without user-initiated clicks
• Intercept searches and redirect traffic through installed software
• Set tracking cookies through hidden iFrames, automatic pop-ups, or background page loads
• Target text on third-party websites for contextual marketing
• Remove, replace, or block affiliate banners
• Auto-fill forms or auto-click affiliate links

Browser Extensions and Toolbars that:

• Automatically trigger affiliate links
• Modify web page content to inject affiliate links
• Track user behavior without clear disclosure and consent

Shopping Assistants, Price Comparison Tools, or Coupon Injectors that:

• Override organic user intent
• Inject affiliate links without clear user action

5.5 Coupon and Deal Site Prohibition

Relevance AI does not permit coupon or deal aggregation sites as affiliates.

You may not:

• Operate or contribute to coupon, deal, or discount aggregation websites
• Distribute or publish unauthorized coupon codes
• Create fake or expired coupon listings
• Use misleading titles like "Relevance AI 50% Off" without valid offers

If Relevance AI provides you with a specific promotional code for your audience, you may share it only within your direct audience (email list, blog readers, social media followers) and may not submit it to coupon aggregation sites.

5.6 Email Marketing Requirements

If you promote Relevance AI through email marketing, you must:

• Comply with the CAN-SPAM Act, GDPR, CASL, and all applicable anti-spam laws
• Only email individuals who have explicitly opted in to receive marketing from you
• Include clear unsubscribe mechanisms in every email
• Clearly identify the email as coming from you, not from Relevance AI
• Not use Relevance AI branding in a way that suggests the email is from Relevance AI
• Include clear and conspicuous affiliate disclosure (see Section 6)

You may not:

• Purchase email lists for affiliate marketing
• Send unsolicited commercial email (spam)
• Use deceptive subject lines or headers
• Hide affiliate links in emails

5.7 Content and Website Restrictions

You may not promote Relevance AI on websites or through content that:

• Contains or promotes illegal content or activities
• Contains adult, pornographic, or sexually explicit material
• Promotes violence, hatred, discrimination, or harassment
• Contains defamatory, libelous, or slanderous content
• Infringes on intellectual property rights
• Violates privacy rights or distributes personal information without consent
• Promotes fraudulent schemes, scams, or deceptive practices
• Contains malware, viruses, or harmful code
• Promotes gambling (unless legally licensed)
• Promotes or facilitates the sale of weapons, drugs, or illegal substances

5.8 Social Media Marketing Guidelines

You may promote Relevance AI on social media platforms provided you:

Permitted Activities:

• Share organic posts about Relevance AI to your followers
• Create genuine product reviews or tutorials
• Share your affiliate link in your bio or profile (with proper disclosure)
• Respond to genuine questions about AI automation tools
• Create educational content about AI agents and workflows

Prohibited Activities:

• Run paid advertising campaigns (see Section 5.1)
• Engage in spam behavior (mass commenting, unsolicited DMs)
• Create fake accounts or use bots to amplify reach
• Purchase followers, likes, or engagement
• Post misleading or deceptive content
• Impersonate Relevance AI or its employees
• Use automation tools to bulk-post affiliate links

5.9 Trademark and Brand Usage

Regarding Relevance AI trademarks and branding:

Permitted Uses:

• Referencing "Relevance AI" in factual reviews and educational content
• Using official logos and brand assets we provide in the Affiliate Platform
• Stating that you are a Relevance AI affiliate (with proper context)

Prohibited Uses:

• Using our trademarks in domain names, social media handles, or app names
• Modifying our logos or brand assets
• Implying partnership, endorsement, sponsorship, or employment relationship with Relevance AI
• Creating confusion about the source or affiliation of your content
• Using our trademarks in paid advertising (see Section 5.1)
• Registering our trademarks or confusingly similar marks

5.10 False or Misleading Claims

You may not:

• Make false, misleading, or unsubstantiated claims about Relevance AI products
• Promise specific results or outcomes that cannot be guaranteed
• Misrepresent pricing, features, or capabilities
• Create fake testimonials or reviews
• Use manipulated screenshots or demonstrations
• Claim certifications, partnerships, or affiliations that don't exist
• Engage in "bait and switch" tactics

5.11 Competitive Disparagement

You may not:

• Make false or misleading claims about Relevance AI's competitors
• Disparage competitor products through unsubstantiated claims
• Engage in unfair competitive practices
• Violate competitors' trademark rights in your promotional content

5.12 Consequences of Violations

Violations of these prohibited marketing methods will result in:

1. Immediate action without warning:
   • Commission forfeiture for all referrals generated through prohibited methods
   • Commission forfeiture for minimum 30 days of referrals
   • Account suspension or termination
   • Potential legal action for damages
2. No grace period or warnings for:
   • Paid advertising violations
   • Brand bidding violations
   • Fraudulent activities
   • Malware or deceptive practices

We employ monitoring tools and services to detect violations. We reserve the right to request documentation proving your traffic sources comply with these terms.

6. FTC DISCLOSURE AND COMPLIANCE REQUIREMENTS

6.1 Federal Trade Commission (FTC) Compliance

As a condition of participation in the Program, you must comply with the Federal Trade Commission's Endorsement Guides, including but not limited to 16 CFR Part 255, as well as any international equivalents (UK CMA, Australian ACCC, Canadian Competition Bureau, etc.) that apply in your jurisdiction.

6.2 Required Disclosures

You must clearly and conspicuously disclose your affiliate relationship with Relevance AI whenever you promote our products.

Acceptable disclosure language includes:

• "This post contains affiliate links. I may earn a commission if you purchase through these links."
• "I'm a Relevance AI affiliate and may earn a commission from qualifying purchases."
• "Affiliate Disclosure: I earn a commission when you purchase Relevance AI through my link."

Unacceptable disclosure language:

• Vague terms like "affiliate link" without explanation
• Hashtags only (e.g., #affiliate, #ad) without clear text
• Disclosures hidden in terms of service or about pages
• Disclosures only visible after clicking links or scrolling

6.3 Disclosure Placement Requirements

Disclosures must be:

Prominent:

• Same font size as primary content (not fine print)
• High contrast and easily readable
• Not hidden behind "read more" buttons without initial visibility

Proximate:

• Close to the affiliate links or promotional content
• Visible before users click affiliate links
• Repeated if multiple affiliate links exist on the same page

Clear:

• Written in plain language
• Unambiguous about the financial relationship
• Understandable to average consumers

6.4 Platform-Specific Guidelines

Blog Posts/Websites:

• Place disclosure at the beginning of the post, before any affiliate links
• Repeat disclosure near affiliate links if the post is long

Social Media:

• Include disclosure at the beginning of captions, not buried in hashtags
• Use platform-built-in disclosure tools (e.g., Instagram's "Paid Partnership" tag) IN ADDITION to text disclosure
• For video content, include both verbal and visual disclosures

Email:

• Include disclosure near the top of emails containing affiliate links
• Repeat disclosure near each affiliate link in the email

YouTube/Video:

• Include verbal disclosure at the beginning of videos
• Include visual disclosure on-screen when discussing affiliate products
• Include disclosure in video description

6.5 Responsibility for Affiliate Actions

While you are responsible for your own compliance, be aware that:

• Relevance AI may be held liable for your deceptive practices
• We will cooperate with regulatory authorities investigating violations
• We reserve the right to request proof of compliance at any time
• Serious violations may result in legal action against you

6.6 International Compliance

If you promote to international audiences, you must comply with:

• European Union's Unfair Commercial Practices Directive
• UK's Consumer Protection from Unfair Trading Regulations
• Australian Consumer Law
• Canadian Competition Act
• Any other applicable consumer protection laws

7. AFFILIATE RESPONSIBILITIES AND OBLIGATIONS

7.1 Content Quality and Accuracy

You are solely responsible for:

• Creating accurate, honest, and non-misleading content about Relevance AI
• Ensuring all product descriptions, features, and pricing information are current
• Correcting outdated information promptly when Relevance AI updates products or pricing
• Creating original content (not copying from Relevance AI's website or competitors)

7.2 Website and Platform Operation

You are responsible for:

• The technical operation and maintenance of your promotional platforms
• Ensuring your website/platform complies with all applicable laws
• Implementing appropriate privacy policies and data protection measures
• Securing any necessary licenses or permissions for your business operations
• Ensuring your hosting and technical setup doesn't violate third-party agreements

7.3 Intellectual Property Respect

You must:

• Respect all copyright, trademark, and intellectual property rights
• Not copy or distribute Relevance AI's proprietary content without permission
• Not reverse engineer, decompile, or attempt to derive source code from our products
• Provide proper attribution when using approved marketing materials

7.4 Privacy and Data Protection

You must:

• Comply with GDPR, CCPA, and all applicable privacy laws
• Maintain a clear privacy policy on your website
• Obtain proper consent before collecting personal information
• Not share or sell data collected from referrals
• Implement reasonable security measures to protect any data you collect

7.5 Customer Service Limitations

You must:

• Not provide technical support on behalf of Relevance AI
• Direct customer inquiries to Relevance AI's official support channels
• Not make promises or commitments on behalf of Relevance AI
• Clarify that you are an independent affiliate, not a Relevance AI employee

7.6 Monitoring and Reporting

You agree to:

• Monitor the performance of your affiliate marketing efforts
• Report any technical issues with tracking or the Affiliate Platform promptly
• Notify us of any suspected fraud or abuse
• Respond to inquiries from Relevance AI within 5 business days

8. LICENSE AND INTELLECTUAL PROPERTY

8.1 Limited License Grant

Subject to your compliance with this Agreement, Relevance AI grants you a non-exclusive, non-transferable, revocable, limited license to:

• Access and use the Affiliate Platform
• Use approved marketing materials, logos, and brand assets provided through the Affiliate Platform
• Display your unique Affiliate Link on your platforms
• Reference Relevance AI products in promotional content

This license terminates immediately upon termination of this Agreement or your violation of any term.

8.2 License Restrictions

You may not:

• Sublicense, sell, rent, or transfer your rights under this license
• Modify, create derivative works, or reverse engineer any materials
• Remove or alter copyright notices, trademarks, or attribution
• Use materials in ways not explicitly permitted by this Agreement

8.3 Marketing Materials

Relevance AI may provide:

• Product screenshots and images
• Logo files and brand assets
• Pre-written copy and templates
• Video content and demonstrations

These materials may only be used for promoting Relevance AI as an affiliate. Any other use requires written permission.

8.4 Ownership

All intellectual property rights in Relevance AI products, website content, and marketing materials remain the exclusive property of Relevance AI. This Agreement grants no ownership rights.

8.5 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Affiliate Program or Relevance AI products, you grant Relevance AI an unlimited, irrevocable, perpetual, royalty-free license to use, implement, and commercialize such feedback without compensation or attribution.

9. TERM AND TERMINATION

9.1 Agreement Term

This Agreement begins when you are accepted into the Program and continues until terminated by either party.

9.2 Termination by Affiliate

You may terminate this Agreement at any time by:

• Sending written notice to [email protected]
• Ceasing all promotional activities
• Removing all Affiliate Links from your platforms

Upon termination by you:

• Unpaid commissions above the minimum threshold ($50) will be paid according to normal payment schedule
• Commissions below the minimum threshold will be forfeited unless otherwise agreed in writing
• You must immediately stop using all Relevance AI marketing materials and remove Affiliate Links

9.3 Termination by Relevance AI

We may suspend or terminate your account immediately without notice for:

Serious Violations (immediate termination without notice):

• Fraud or suspected fraudulent activity
• Use of prohibited marketing methods (paid advertising, brand bidding, etc.)
• Self-referral violations
• Malware distribution or security violations
• Illegal activities
• Violation of intellectual property rights
• Providing false information during application or operation
• Creating multiple accounts to circumvent restrictions
• Attempting to manipulate tracking systems
• Repeated violations after warnings

General Violations (may include warning):

• Non-compliance with FTC disclosure requirements
• Poor quality or misleading content
• Inactivity (no referrals for 6 consecutive months)
• Failure to respond to inquiries
• Violation of any term of this Agreement

9.4 Abandoned Accounts

We may terminate accounts deemed "abandoned":

Definition of Abandoned Account:

• No login to Affiliate Platform for 6 months, OR
• No referral activity for 6 months

Consequences:

• Account automatically terminated
• Unpaid commissions below minimum threshold forfeited
• We will attempt to notify you before termination but are not required to do so

9.5 Effects of Termination

Upon termination for any reason:

1. Immediate effects:
   • Your license to use marketing materials terminates
   • You must remove all Affiliate Links within 48 hours
   • You must stop all promotional activities
   • Access to Affiliate Platform will be revoked
2. Commission handling:
   • If terminated by you (voluntary): Approved commissions above minimum threshold will be paid
   • If terminated by us for fraud/violation: All pending and approved commissions may be forfeited
   • If terminated for inactivity: Approved commissions above minimum threshold will be paid
3. Ongoing obligations:
   • Confidentiality obligations survive termination
   • Outstanding payments owed to Relevance AI must be paid
   • Legal claims may be pursued for violations that occurred during the term

9.6 No Guarantee of Reinstatement

Termination of your account does not guarantee the opportunity to reapply. We reserve the right to permanently ban you from the Program.

10. CONFIDENTIALITY

10.1 Confidential Information Definition

"Confidential Information" includes:

• Non-public information about Relevance AI's business operations, strategies, and financial performance
• Commission rates, payment terms, and program economics (beyond publicly disclosed information)
• Customer information or data you may access
• Non-public product roadmaps or feature information
• Affiliate Platform backend information and reports
• Communications marked as confidential

Confidential Information does not include information that:

• Is or becomes publicly available through no breach by you
• Was rightfully in your possession before disclosure
• Is independently developed by you without use of Confidential Information

10.2 Obligations

You agree to:

• Keep Confidential Information strictly confidential
• Not disclose Confidential Information to third parties without written consent
• Use Confidential Information solely for participating in the Program
• Take reasonable measures to prevent unauthorized disclosure
• Notify us immediately of any unauthorized disclosure

10.3 Duration

These confidentiality obligations survive termination of this Agreement and continue for 3 years after termination.

11. REPRESENTATIONS AND WARRANTIES

11.1 Your Representations

By participating in the Program, you represent and warrant that:

1. You have the legal capacity to enter into this Agreement
2. You have authority to bind any entity on whose behalf you're acting
3. Your participation doesn't violate any other agreement or obligation
4. All information you provide is accurate and complete
5. You will comply with all applicable laws and regulations
6. Your promotional activities don't infringe on third-party rights
7. Your website/platform doesn't contain illegal or harmful content
8. You have appropriate privacy policies and disclosures in place

11.2 Ongoing Compliance

You agree to:

• Immediately notify us if any representation becomes untrue
• Update your account information to maintain accuracy
• Provide documentation upon request to verify compliance
• Respond truthfully to inquiries from Relevance AI

11.3 Disclaimer of Warranties

THE AFFILIATE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

Relevance AI disclaims all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy or completeness of tracking data
• Uninterrupted or error-free operation
• Achievement of any particular revenue or commission level
• Compatibility with your systems or platforms

We do not guarantee:

• That you will earn any specific amount
• That the Program will continue indefinitely
• That commission rates will remain unchanged
• That tracking will be 100% accurate

12. LIMITATION OF LIABILITY AND INDEMNIFICATION

12.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Relevance AI's total liability arising from or related to this Agreement will not exceed the total commissions paid to you in the 6 months immediately preceding the event giving rise to liability.

Relevance AI will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages, including:
  • Lost profits or revenue
  • Loss of business opportunities
  • Loss of data

• Issues beyond our control:
  • Tracking system failures or inaccuracies
  • Payment processor errors
  • Third-party service interruptions
  • Force majeure events
  • Acts or omissions of other affiliates
• Your violations:
  • Loss of commissions due to violation of this Agreement
  • Legal costs arising from your illegal or prohibited activities
  • Damages from your misleading or deceptive marketing

12.2 Affiliate Indemnification

You agree to indemnify, defend, and hold harmless Relevance AI, its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

1. Your breach of this Agreement
2. Your violation of any law or regulation
3. Your violation of third-party rights (including intellectual property, privacy, or publicity rights)
4. Your marketing activities, website content, or promotional materials
5. Your negligence or willful misconduct
6. Claims that your content is defamatory, misleading, or harmful
7. Tax claims related to your commission income
8. Your violation of FTC guidelines or failure to disclose affiliate relationship

12.3 Indemnification Procedure

If a claim subject to indemnification arises:

1. Relevance AI will notify you in writing within 30 days
2. You will assume full control and expense of the defense
3. Relevance AI may participate in defense at its own expense
4. You may not settle any claim without Relevance AI's written consent if settlement:
   • Imposes obligations on Relevance AI
   • Requires Relevance AI to admit liability or fault
   • Affects Relevance AI's intellectual property rights

12.4 Verification Rights

We reserve the right to request documentation or information to verify the legitimacy of referrals and compliance with this Agreement. You agree to cooperate with reasonable verification requests within 10 business days.

13. RELATIONSHIP OF PARTIES

13.1 Independent Contractor Status

You are an independent contractor. This Agreement does not create:

• An employment relationship
• A partnership or joint venture
• An agency or franchise relationship
• A sales representative relationship

13.2 No Authority

You have no authority to:

• Make representations, warranties, or commitments on behalf of Relevance AI
• Bind Relevance AI to any contract or obligation
• Negotiate terms with customers
• Accept payments on behalf of Relevance AI
• Access Relevance AI's internal systems or data
• Act as if you're a Relevance AI employee or representative

13.3 Clarification Required

You must:

• Clearly identify yourself as an independent affiliate
• Not suggest employment or partnership with Relevance AI
• Not use titles like "Relevance AI Partner" or "Relevance AI Representative" without explicit permission
• Correct any customer misunderstanding about your relationship with Relevance AI

13.4 Taxes and Benefits

As an independent contractor:

• You are responsible for all taxes on commission income
• You are not entitled to employee benefits
• You are not covered by Relevance AI's insurance
• You must maintain your own business insurance as appropriate

14. MODIFICATIONS TO AGREEMENT

14.1 Right to Modify

Relevance AI reserves the right to modify this Agreement at any time, including but not limited to:

• Commission rates and structure
• Payment terms and minimum thresholds
• Program requirements and restrictions
• Marketing guidelines and prohibited methods

14.2 Notification of Changes

For New Affiliates:

• The current version of this Agreement applies to all new applicants
• By applying to the Program, you accept the terms as currently published
• No advance notice is required for terms that apply to new affiliates

For Existing Affiliates:

Minor Changes (non-material):

• We will post updates to the Agreement
• Continued participation constitutes acceptance
• No advance notice required

Material Changes (adversely affecting your benefits):

• We will provide 30 days advance written notice
• Notice will be sent via email and/or posted in Affiliate Platform
• You may terminate this Agreement during the 30-day notice period
• Continued participation after 30 days constitutes acceptance

14.3 Your Options

Upon notification of material changes, you may:

Option 1: Accept Changes

• Continue participating under new terms
• No action required

Option 2: Terminate

• Send written termination notice within 30-day notice period
• Approved commissions above minimum threshold will be paid
• You must remove all Affiliate Links and stop promotional activities

Option 3: Negotiate (Enterprise/High-Volume Affiliates Only)

• Contact [email protected] to discuss alternatives
• Available only to affiliates generating significant revenue
• Approval at Relevance AI's sole discretion

14.4 Rejection of Future Changes

You cannot reject specific changes while remaining in the Program. You must either accept all changes or terminate your participation.

15. DISPUTE RESOLUTION AND LEGAL PROVISIONS

15.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

15.2 Dispute Resolution Process

Step 1: Informal Resolution (Required)Before filing any legal action, parties agree to first attempt to resolve disputes through good-faith negotiation:

• Party initiating dispute sends written notice to the other party
• Parties have 30 days to negotiate resolution
• Negotiation must involve senior representatives from each party

Step 2: Mediation (Optional)If informal resolution fails:

• Either party may request non-binding mediation
• Mediator selected by mutual agreement or through mediation service
• Mediation costs shared equally
• Mediation conducted in Sydney, Australia (or remotely if agreed)

Step 3: LitigationIf mediation fails or either party declines mediation:

• Claims may be filed in courts of competent jurisdiction in New South Wales, Australia
• Each party consents to exclusive jurisdiction and venue in such courts
• Each party waives any objection to jurisdiction or venue

15.3 Exceptions to Dispute Resolution

Relevance AI may seek immediate injunctive relief without following the dispute resolution process for:

• Intellectual property violations
• Breach of confidentiality obligations
• Fraud or illegal activities
• Violations that cause immediate harm to Relevance AI or its customers

15.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

You waive the right to:

• Participate in class action lawsuits
• Serve as a class representative
• Consolidate your claims with claims of other affiliates

15.5 Limitation Period

Any claim arising from or related to this Agreement must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.

15.6 Legal Fees

In the event of litigation or arbitration:

• If Relevance AI prevails: You will pay Relevance AI's reasonable attorneys' fees and costs
• If you prevail: Each party bears its own fees and costs (unless court orders otherwise)

16. GENERAL PROVISIONS

16.1 Entire Agreement

This Agreement constitutes the entire agreement between you and Relevance AI regarding the Affiliate Program and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written.

16.2 Assignment

You may not assign, transfer, or delegate this Agreement or any rights or obligations hereunder without Relevance AI's prior written consent. Any attempted assignment without consent is void.

Relevance AI may freely assign this Agreement, including to:

• An affiliate or subsidiary
• A successor entity in a merger or acquisition
• A purchaser of substantially all of Relevance AI's assets

16.3 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable:

• The provision will be modified to the minimum extent necessary to make it valid and enforceable
• If modification is not possible, the provision will be severed
• All other provisions remain in full force and effect

16.4 Waiver

Failure by Relevance AI to enforce any provision of this Agreement does not constitute a waiver of that provision or Relevance AI's right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative.

16.5 Force Majeure

Neither party will be liable for failure to perform obligations due to causes beyond reasonable control, including:

• Natural disasters
• War, terrorism, or civil unrest
• Government actions or regulatory changes
• Internet outages or infrastructure failures
• Pandemics or public health emergencies

Performance obligations are suspended during force majeure events but resume when the event ends.

16.6 Notices

All notices under this Agreement must be in writing and sent to:

Notices are deemed delivered:

• Email: 24 hours after sending
• Physical mail: 5 business days after sending

You must keep your email address current. We are not responsible for notices sent to outdated addresses.

16.7 Survival

The following provisions survive termination of this Agreement:

• Sections 4.6 (Refunds and Chargebacks)
• Section 8.4 (Ownership)
• Section 10 (Confidentiality)
• Section 12 (Limitation of Liability and Indemnification)
• Section 15 (Dispute Resolution)
• Any other provisions that by their nature should survive

16.8 Electronic Signatures

By clicking "Accept", "I Agree", or similar buttons, or by using the Affiliate Program, you agree that such action constitutes your electronic signature and you are legally bound by this Agreement as if you had signed a physical document.

16.9 Language

This Agreement is drafted in English. Any translation is provided for convenience only. In case of conflict, the English version prevails.

16.10 Headings

Section headings are for convenience only and do not affect interpretation of this Agreement.

16.11 Third-Party Beneficiaries

This Agreement is between you and Relevance AI only. No third party has any rights under this Agreement.

16.12 Compliance with Export Laws

You agree to comply with all applicable export and import laws and regulations. You may not access or use the Affiliate Program if you are located in a country subject to U.S. or Australian embargoes or trade sanctions.

18. ACKNOWLEDGMENT AND ACCEPTANCE

BY CLICKING "APPLY NOW", "SIGN UP", "I AGREE", OR BY ACCESSING OR USING THE AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT:

1. You have read and understood this entire Agreement
2. You have had the opportunity to review the Agreement with legal counsel
3. You agree to be legally bound by all terms and conditions
4. You understand that this is a legally enforceable contract
5. You understand the commission structure and payment terms
6. You understand the prohibited marketing methods and will comply
7. You understand your FTC disclosure obligations
8. You accept the limitation of liability and indemnification provisions
9. You understand that Relevance AI may terminate your account at any time
10. You agree to the dispute resolution and governing law provisions

If you do not agree to these terms, you must not participate in the Affiliate Program.
